Terms of Use

1. The service

DueFrame is a Word-first contract review product with a connected web platform for metadata-only Review records, risks, reminders and workspace administration.

2. Private beta

DueFrame is an early-stage product. Features may be incomplete, changed, suspended or removed, and data structures may change as the product develops. Section 8A describes the free trial and paid plans.

3. Accounts and authorised use

You must provide accurate account information, keep credentials confidential and promptly report suspected unauthorised access. You are responsible for activity under your account and for ensuring that you have authority to use DueFrame for your organisation and to process any contract through the Word add-in.

4. Acceptable use

You must not:

5. Your content

You retain your rights in content you submit. Contract content is processed for the active Microsoft Word review and is not stored by DueFrame. You give DueFrame the limited permission needed to process review requests and store metadata-only Review records, risks and reminders solely to operate and secure the service.

Where you choose to store content in your workspace — playbooks, clause-library entries (including clauses you import from a precedent you upload), company profiles and similar user-authored configuration — you are responsible for ensuring you have the right to upload and store that content, including under any confidentiality or client obligations that bind you. You will indemnify and hold DueFrame harmless from third-party claims arising from content you chose to store in breach of such obligations.

6. No legal advice

DueFrame is not a law firm and does not provide legal advice. Review suggestions, summaries, risks, reminders and other workflow outputs are operational aids only. They do not replace review by a qualified professional or the judgement of the responsible user.

6A. AI-generated output

DueFrame's review suggestions, answers, drafts and research outputs are generated by artificial-intelligence systems (large language models provided by OpenAI and called at the time of your request). AI output can be incomplete or wrong. It is provided for review by a qualified professional, and you are responsible for reviewing it before relying on it or applying it to a document. No output is applied to your document automatically: amendments take effect only through your explicit action and appear as visible Microsoft Word tracked changes.

For the purposes of Regulation (EU) 2024/1689 (the EU AI Act), DueFrame is the provider of the AI system and your organisation uses it as a deployer. DueFrame is intended for contract work by legal professionals in private practice and in-house. It is not intended for use by courts, tribunals or other judicial authorities or to assist judicial decision-making, and it must not be used for those purposes. How the AI works and its limitations are described on the AI transparency page.

7. Availability and third-party services

The private beta is provided without a service-level commitment. Availability may depend on third-party hosting, database and authentication providers. DueFrame is not responsible for third-party services or their separate terms, privacy practices or availability.

8. DueFrame rights and feedback

DueFrame and its licensors retain rights in the service, brand, design and software. If you provide product feedback, you permit DueFrame to use it without restriction or payment, while avoiding disclosure of your confidential workspace content.

8A. Trial, plans, billing and refunds

Free trial. A new workspace receives a five-day free trial with unlimited use and no payment method required. The trial does not convert automatically. When it ends, AI review actions pause until the workspace subscribes; your workspace, Review records, reminders, playbooks and clause library remain available to sign in to, export or delete.

Plans and payment. The free trial is separate from, and never part of, a purchase: subscribing starts billing immediately. Paid plans are subscriptions billed monthly or annually in advance at the prices shown on the pricing page at the time you subscribe (Individual: one user; Small Team: up to five users in one workspace). Payments are processed by Paddle.com Market Ltd (or its affiliates) acting as merchant of record, under Paddle's own checkout terms; Paddle handles VAT and sales tax, invoicing and card details. DueFrame never receives your full card number.

Renewal and cancellation. There is no minimum term and no commitment. Subscriptions renew automatically at the end of each billing period until cancelled, and you can cancel at any time from Billing in Settings or through Paddle's customer portal; cancellation takes effect at the end of the period already paid for, and access continues until then. Price changes apply from the next renewal and are notified at least 30 days in advance.

Refunds. Because the free trial gives full, unlimited use before any payment, subscription fees are non-refundable once a billing period has begun, except where required by law or where DueFrame was materially unavailable for a sustained period during that billing period, in which case contact us and we will work out a fair remedy. Refund requests are handled with Paddle under its buyer terms.

Non-payment. If a renewal payment fails, Paddle retries it and we notify the workspace admin; if payment is not made within the retry period, the subscription ends and AI actions pause until it is restored. Workspace information is not deleted for non-payment.

9. Suspension and termination

You may stop using the service at any time. DueFrame may suspend or end access where reasonably necessary for security, legal compliance, misuse or operation of the private beta. Contact us before leaving if you need help requesting an export or deletion of workspace information.

10. Disclaimers and responsibility

To the extent permitted by applicable law, the private beta is provided on an “as available” basis without warranties that it will be uninterrupted, error-free or suitable for a particular legal workflow. Users remain responsible for professional judgement, decisions, filings, notices, deadlines and independent records.

11. Changes and contact

These terms may be updated as the service develops. Continued use after an update means the revised terms apply. Questions can be sent to founder@aqaritrack.org.
